Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Hedliner (the “Service”), operated by Hedliner (“we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Hedliner is a marketplace that connects live-music venues, bands, and booking agents for the purpose of booking performances. Hedliner is a venue. We are not a party to bookings between users and do not employ, represent, or guarantee any user.

2. Eligibility & Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You are responsible for safeguarding your account credentials and for all activity under your account. Notify us immediately at support@hedliner.com if you suspect unauthorized use.

3. User Content

You retain ownership of the content you submit (profiles, photos, listings, messages, reviews). You grant Hedliner a worldwide, non-exclusive, royalty-free license to host, display, and distribute that content within the Service for the purpose of operating it. You represent that you have the rights to the content you submit and that it does not infringe on others’ rights.

4. Acceptable Use

You agree not to:

• Misrepresent your identity, affiliation, or the venue/band you list.
• Post unlawful, harassing, defamatory, or discriminatory content.
• Use the Service to circumvent bookings made through it.
• Scrape, reverse-engineer, or interfere with the Service.
• Attempt to gain unauthorized access to other accounts or systems.
• Send spam or unsolicited commercial messages through the Service.

5. Bookings & Payments

Bookings, deal terms, and any payments are arranged directly between users. Hedliner does not currently process payments and is not responsible for disputes, cancellations, no-shows, or the quality of any performance or venue. We may introduce optional payment features in the future, governed by additional terms presented at that time.

6. Reviews

Reviews must be honest, based on a real interaction, and free of personal attacks. We may remove reviews that violate these Terms.

7. Termination

You may delete your account at any time. We may suspend or terminate your access if you violate these Terms or use the Service in a way that risks harm to other users or to Hedliner.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HEDLINER DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY USER OR LISTING IS ACCURATE OR TRUSTWORTHY.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEDLINER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to indemnify and hold harmless Hedliner and its officers, directors, employees, and agents from any claims, damages, or expenses arising out of your use of the Service, your content, or your violation of these Terms.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Disputes will be resolved in the state or federal courts located in San Francisco County, California, and you consent to personal jurisdiction there.

12. Changes

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
